Terms of Use

Effective date: October 26, 2026

1About Abento and these terms

These Terms of Use (“Terms”) are between Abento Inc. (“Abento”, “we”, “us” or “our”) and the person using the website (“you”). They apply to abento.io, abento.exchange, and abento.ai, and the website features expressly identified as covered by these Terms.

Abento provides infrastructure for businesses to accept, send and settle payments involving digital assets, including conversion to fiat currency for settlement. This description does not mean that every service is available through the website or in every jurisdiction.

Business address: 120 Adelaide Street West, Suite 2215, Toronto, Ontario, M5H 1T1, Canada.

General enquiries: info@abento.io

Legal notices: legal@abento.io

Privacy contact: compliance@abento.io

Effective date: October 26, 2026.

2Acceptance and document hierarchy

Please read these Terms before using the website. Where we ask you to agree to them through an acceptance control, selecting that control confirms your agreement. If you do not agree, do not activate the feature requiring acceptance. You may contact us with questions before accepting.

We provide these Terms to explain the conditions governing website use. Merely visiting a page does not establish that you have agreed to a separate payment or merchant contract.

If you act for a business when accepting these Terms, you confirm that you have authority to bind that business. Identify the business accurately. An unauthorized visitor does not bind an organization merely by browsing its website.

Separate agreements govern regulated or transactional services. If you enter into a merchant, payment, conversion, custody, developer or other service agreement with Abento, that agreement governs the relevant service and prevails over these Terms to the extent of a conflict concerning that service.

Our Privacy Policy explains personal information practices. Our Cookie Policy explains cookies and similar technologies. Acceptance of these Terms is not blanket consent to optional tracking, marketing or every use of personal information.

Mandatory law prevails over a conflicting contractual provision. Nothing in these Terms removes a statutory right or remedy that cannot lawfully be excluded.

3Eligibility access and acceptable use

3.1 Eligibility and geographic availability

You must have the legal capacity and any necessary authority to accept these Terms or activate a feature requiring a contract. Business account and transaction eligibility is assessed under the relevant service agreement, including age, verification, jurisdiction and business activity requirements.

Access to an informational webpage does not establish eligibility for a service. Do not use false location information or another person’s identity to circumvent restrictions. Abento may restrict features where necessary to comply with applicable law or protect the website.

The website is not an offer to provide a regulated service in a jurisdiction where Abento is not permitted to provide it. Availability of website content or an enquiry form does not establish such permission.

4Permitted and prohibited use

You may use the website for lawful information gathering, business enquiries and features we make available to you, subject to these Terms and applicable feature restrictions.

You must not use the website to commit fraud, impersonate someone, submit knowingly false information, facilitate unlawful transactions or evade applicable sanctions or other legal restrictions.

You must not introduce malware, interfere with availability, bypass authentication or access controls, exploit a vulnerability, access non-public information without authorization, or use automated requests that materially disrupt the website.

You must not harvest personal information, send unlawful unsolicited messages, infringe intellectual property rights, or upload unlawful, threatening or abusive content.

You must not reproduce or commercially exploit protected website content beyond the permission in section 6 or applicable law. These Terms do not prohibit lawful quotation, accessibility tools or other uses protected by law.

Security testing requires prior written authorization defining its scope. Report suspected vulnerabilities to compliance@abento.io. Do not access other people’s data or continue exploiting a vulnerability while making a report. Any separate vulnerability disclosure policy governs authorized testing within its scope.

5Website content and submissions

5.1 Intellectual property and limited permission

Abento or its licensors own the website’s protected content, design, software, graphics and branding. Third party trademarks remain the property of their respective owners.

Subject to these Terms, you may view the website and download or print reasonable extracts for your own lawful informational or internal business use. Keep copyright and ownership notices intact. This permission does not grant rights to use Abento’s branding to suggest sponsorship, partnership or endorsement.

Except where permitted by law or separately authorized, do not republish, sell, license, substantially reproduce or adapt protected website materials or extract protected material for a competing commercial service.

Public developer documentation may be subject to an identified separate licence. Access to documentation does not itself authorize production API access, transactions or access to another customer’s information.

If you believe website material infringes your rights, contact compliance@abento.io with your contact details, the location of the material, the right concerned and a description of the issue. Do not include unnecessary personal or confidential information.

6Information you submit

You remain responsible for the accuracy and lawfulness of information you submit and for having the authority needed to provide it. Do not send private keys, seed phrases, passwords, unnecessary identification documents or confidential third party information through general enquiry forms.

You retain ownership of your submissions. You grant Abento only the rights reasonably needed to receive, store, reproduce internally and use a submission to respond to it, provide the requested website feature and administer the related enquiry, subject to the Privacy Policy and applicable law.

This permission does not authorize public endorsement, publication of your name or logo, unrelated advertising, sale of your information or use of confidential material for unrelated model training. Any such proposed activity requires a separate lawful basis and permission where required.

If we invite optional feedback, we may use non-confidential suggestions to improve the website and services without an obligation to pay you, unless separately agreed. This does not transfer ownership of your pre-existing intellectual property or override confidentiality commitments.

7Personal information and communication choices

We handle personal information as described in our Privacy Policy. Optional cookies and marketing choices are managed separately from acceptance of these Terms.

You may receive messages necessary to respond to an enquiry or administer a feature you requested. Promotional communications are subject to applicable consent and unsubscribe requirements. A general enquiry does not automatically subscribe you to marketing.

8Third parties and digital asset information

8.1 External websites and third party tools

The website may link to third party content or provide access to tools operated by another organization. Unless we expressly state otherwise, a link does not mean Abento endorses the third party or guarantees its content, security or availability.

Third parties may have separate terms and privacy notices. Review those documents before using their services or providing information. We identify material third party roles in relevant service flows where required.

This section does not exclude Abento’s responsibility for its own selection, integration or conduct where applicable law or an agreement makes Abento responsible. A provider’s involvement does not automatically transfer all risk to you.

9Informational content and illustrative prices

Website articles, explanations and examples provide general information. They are not individualized investment, legal, tax or accounting advice and do not assess your financial circumstances or suitability for a particular digital asset.

Do not treat an educational example, indicative rate or calculator result as a binding transaction quote. A quote is binding only to the extent stated in the applicable service agreement and the confirmation presented for that transaction.

Where a transaction feature is available, review the asset, network, recipient, amount, conversion rate, quote expiry and disclosed charges before submitting an instruction. Transaction fees and settlement commitments are governed by the applicable service agreement and transaction disclosures.

We aim to keep website information accurate, but it may be incomplete or become outdated. Contact us if you identify an error. Correcting general website content does not automatically amend a completed transaction or remove rights arising from a binding representation.

10Digital asset risks

Digital assets can experience substantial price volatility, liquidity constraints, network congestion, protocol changes, security incidents and regulatory restrictions. A stablecoin may lose its intended peg or be subject to issuer, reserve or redemption risks.

Blockchain transactions may be difficult or impossible to reverse after submission. Using an incorrect address, network or unsupported asset may cause loss or prevent recovery. A network may delay confirmation or impose charges outside Abento’s control.

These statements are a general risk summary. They do not replace service specific risk disclosures or allocate every transaction loss to the user. Responsibility for an error, failed transaction, recovery attempt or refund depends on the facts, applicable law and the governing service agreement.

Do not infer deposit insurance, investor compensation, a guarantee of asset value or regulatory endorsement from the website or from registration of a service provider. Any protection that applies to a particular arrangement must be described accurately in its service documentation.

11Availability restrictions and responsibility

11.1 Website availability and changes

We may maintain, update or discontinue informational website features. We do not promise uninterrupted website access or that every item of content will always be current or free from error.

Where reasonably practicable, we provide notice of material planned interruptions affecting account access. Urgent security, legal or operational circumstances may require action without advance notice.

Changes to the website do not override our obligations concerning existing transactions, access to legally required records, safeguarding, notices or other duties under a service agreement or applicable law.

12Restricting access

We may restrict website access where we reasonably believe there is a material breach of these Terms, unlawful use, a security threat or a legal requirement to do so. Restrictions should be proportionate to the reason and duration necessary.

Where lawful and reasonably practicable, we explain the restriction and how to seek review through compliance@abento.io. We may withhold details where disclosure is legally prohibited or would compromise security or an investigation.

Restriction of website access does not itself authorize forfeiture, confiscation or indefinite withholding of funds or digital assets. Any transaction hold, account freeze, closure or return of assets is governed separately by applicable law and the relevant service agreement.

You may stop using the website at any time. Closing a payment account or ending a service relationship follows the relevant service agreement and does not eliminate accrued rights or lawful recordkeeping requirements.

13Website warranties and liability

To the extent permitted by applicable law, informational website content is provided as available, without an additional contractual warranty that it is complete, uninterrupted or suitable for a particular purpose. Express commitments in an applicable service agreement remain effective.

For use of the informational website in the course of business, and to the extent permitted by law, Abento excludes liability for indirect or consequential loss and loss of business profit or opportunity arising from that use. This exclusion does not apply to payment execution, custody, settlement or other services governed by a separate agreement.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Nothing excludes mandatory consumer remedies or our non-excludable privacy, security or regulatory duties.

No fixed monetary liability cap is imposed by these website Terms. Any proposed cap for a paid service must be assessed and agreed in the applicable service agreement.

14Complaints governing law and changes

14.1 Questions complaints and dispute resolution

Contact info@abento.io with your contact details and a description of the issue. Do not include private keys or unnecessary sensitive information. We will acknowledge receipt and explain the next steps through the complaint procedure applicable to the issue.

Payment disputes, merchant purchase disputes and website complaints may involve different parties and procedures. We identify the relevant route where possible. A merchant remains responsible for its own goods and services, subject to applicable law and the parties’ actual roles.

You may seek advice, contact a regulator or privacy authority, or pursue remedies available under applicable law without first obtaining our permission. An informal complaint process does not suspend a statutory deadline unless the law or a valid agreement provides otherwise.

These Terms do not impose mandatory arbitration, a class action waiver or a shortened statutory limitation period.

15Governing law and courts

Subject to mandatory applicable law, these Terms are governed by the laws of Ontario and the federal laws of Canada applicable there.

For disputes concerning website use in the course of business, the courts located in Toronto, Ontario, have jurisdiction, subject to any mandatory jurisdiction rules.

If you are a consumer, nothing in this clause deprives you of mandatory protections or the right to bring proceedings in a court available to you under applicable law. A choice of Canadian law does not by itself displace protections that apply to consumers in another jurisdiction.

16Amendments

We may update these Terms to reflect website changes, legal developments or legitimate operational needs.

For material changes affecting an ongoing contractual website feature, we provide reasonable advance notice unless an urgent legal or security reason requires a shorter period. Where agreement is required, we obtain it before applying the change to that feature.

Changes do not retrospectively remove accrued rights or rewrite completed transactions. If you do not accept a material change requiring agreement, you may stop using the affected feature; any related service termination rights follow its separate agreement.

17General provisions

If a provision is unenforceable, the remaining provisions continue only to the extent permitted by law. A court is not asked to rewrite an unfair term in Abento’s favour.

A failure to enforce a provision on one occasion is not a waiver of the right to enforce it later. These Terms concern website use only and do not supersede separate service agreements, binding commitments or non-excludable legal rights.
